THIS LICENSE GRANTS YOU ("RECIPIENT") THE RIGHT TO USE THE SOFTWARE DEFINED BELOW IN THE DEFINITIONS SECTION IN ACCORDANCE WITH THE TERMS SET FORTH BELOW.

OPENING THE PACKAGE, INSTALLING, OR USING THE SOFTWARE CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS. IF YOU DO NOT AGREE WITH THE TERMS, PLEASE DO NOT INSTALL THIS SOFTWARE AND RETURN THE PACKAGE UNOPENED TO YOUR PLACE OF
PURCHASE FOR FULL CREDIT.

YOUR SPECIFIC RIGHTS WILL DEPEND ON WHETHER YOU HAVE PURCHASED A LICENSE TO THE SLIK-DA SOFTWARE OR SLIK-DA WITH UA SOFTWARE. THE SLIK-DA SOFTWARE PROVIDES A SUBSET OF THE RIGHTS THAT THE SLIK-DA WITH UA SOFTWARE PROVIDES

DEFINITIONS

"SLIK-DA Redistributables" shall mean the SLIK-DA ActiveX Control DLL (NDISLIKDA5.dll),the OPC Server Toolkit DLL's upon which it depends (NDIServer.dll and NDIErrors.dll), and the .NET interop assembly Interop.NDISLIKDA.dll. It shall also include the SWTBSlikDa5.msm Windows Installer merge module, authored by Software Toolbox, Inc., for the purpose of consumption by Windows Installer packages created by you to install and set up OPC server executables built using the SLIK-DA Software. Your rights to distribute the “OPC COM ProxyStub MergeModule (x86).msm are covered by the OPC Foundation License agreement that may be viewed at <http://www.opcfoundation.org/LicenseAgreement.aspx>.

“SLIK-DA with UA Redistributables” shall mean all of the contents of the SLIK-DA Redistributables plus the following: SLIKUAConfigurator.exe and SLIKDAUAConfig.xml. If you have edited the source code that is provided for the SLIKUAConfigurator.exe, you may distribute your compiled, machine readable version of the tool, but you may not redistribute the source code for SLIKUAConfigurator.exe in its unmodified or any modified form.

"SLIK-DA Software" shall mean the SLIK-DA Redistributables in object code form only, plus any library and header files required to develop, test, and debug an OPC server created using the SLIK-DA ActiveX Control.

“SLIK-DA Software Sample Code” shall mean the human readable sample programs installed with the SLIK-DA Software in a folder named “Samples” in the installation directory for the SLIK-DA Software. These samples are provided “AS-IS” and may not fit your application specific requirements, and are provided for reference only.

“SLIK-DA with UA Software” shall mean the SLIK-DA with UA Redistributables, in object code form only, plus any library or header files required to develop, test, and debug an OPC server created using the SLIK-DA with UA

“SLIK-DA with UA Software Sample Code” shall mean the human readable sample programs installed with the SLIK-DA with UA Software in a folder named “Samples” in the installation directory for the SLIK-DA with UA Software. These samples are provided “AS-IS” and may not fit your application specific requirements, and are provided for reference only.

"Licensed Software" shall mean the SLIK-DA Software and if you purchased a license for it, the SLIK-DA with UA Software plus any other software, in object or source code form, supplied by Software Toolbox, Inc. pursuant to this Agreement. The Licensed Software may include third party software licensed to Software Toolbox, Inc.

"Development Machine" shall mean the one (1) computer upon which Recipient shall use the Licensed Software for developing, testing, and debugging OPC server applications.

LICENSE

Software Toolbox Inc. grants to Recipient a personal, non-transferable, non-exclusive license to:

    1. use the Licensed Software on a single Development Machine;
    2. copy the Licensed Software for backup purposes in support of your use of the Licensed Software on the Development Machine, limited to one (1) copy.
    3. freely distribute the SLIK-DA Redistributables, as a component of your OPC server created with the SLIK-DA ActiveX Control.
    4. freely distribute the SLIK-DA with UA Redistributables, provided you have purchased a license for
      SLIK-DA with UA Software, as a component of your OPC server created with the SLIK-DA with UA ActiveX control.
    5. use the SLIK-DA Software Sample Code to build customer specific OPC servers using the SLIK-DA Software. You may modify the SLIK-DA Software Sample Code to suit your requirements and freely distribute compiled applications using the SLIK-DA Software Sample Code to your customers; however, you may NOT distribute the SLIK-DA Software Sample Code. You are responsible for managing, tracking your changes, and supporting any changes you have made to the SLIK-DA Software Sample Code and supporting your end user application.
    6. If you have licensed the SLIK-DA with UA Software, use the SLIK-DA with UA Software Sample Code to build customer specific OPC servers using the SLIK-DA with UA Software. You may modify the SLIK-DA with UA Software Sample Code to suit your requirements and freely distribute compiled applications using the SLIK-DA with UA Software Sample Code to your customers; however, you may NOT distribute the SLIK-DA with UA Software Sample Code. You are responsible for managing, tracking your changes, and supporting any changes you have made to the SLIK-DA with UA Software Sample Code and supporting your end user application.

If you are using the SLIK-DA with UA Software, you must also comply with the section of this Agreement titled “THIRD PARTY LICENSES AND OPEN SOURCE LICENSE ACKNOWLEDGEMENTS”

Recipient may not reverse engineer, decompile, or disassemble the Licensed Software. Recipient shall not modify or adapt the Licensed Software in any way. The Licensed Software, comprising proprietary trade secret information of Software Toolbox and/or its licensors, shall be held in confidence by Recipient and protected from disclosure to third parties.

If you transfer possession of any copy of the licensed software to another party without written consent of Software Toolbox, YOUR LICENSE IS AUTOMATICALLY TERMINATED. Any attempt otherwise to sublicense, assign or transfer any of the right, duties or obligations hereunder is void.

Any rights not specifically granted in this Agreement are reserved by Software Toolbox and it is the responsibility of the user to request written clarification for any use case that is not explicitly granted in this Agreement.

RESTRICTED APPLICATIONS

The SLIK-DA with UA Software and SLIK-DA Software are not designed or intended for use in critical safe systems including but not limited to nuclear facilities, aircraft communication and control systems or other situations where the failure of the SLIK-DA with UA Software or SLIK-DA Software could lead to death or personal injury.

The Licensed Software may NOT be used to develop derivative works that offer similar functionality as the Licensed Software or expose the development features of the Licensed Software for use by a third party that is not a party to this Agreement. For example: You may NOT use the Licensed Software to create a toolkit for creating OPC DA or OPC UA servers and license that toolkit as a product to other users.

The Licensed Software cannot be used to create OPC server software that would directly compete with off-the-shelf commercial OPC server products offered by Software Toolbox Inc. at the time of the purchase of your license of the Licensed Software.

You are responsible for seeking written clarification from Software Toolbox if there is any doubt that your application may be considered to be a restricted application as defined herein.

TITLE

Title to and ownership of the Licensed Software and related materials shall at all times remain with Software Toolbox. Your right to use the same is at all times subject to the terms and condition of this Agreement. Software Toolbox may, from time to time, revise or update the Licensed Software and/or related materials and, in so doing, incurs no obligation to furnish such revisions or updates to you.

LIMITED WARRANTY

Software Toolbox warrants that the SLIK-DA Software and SLIK-DA with UA Software will be in substantial conformance with the manual pertaining thereto as of the date of shipment by Software Toolbox. If, within thirty (30) days after the date of registration upon initial use by the end-user, or within forty-five (45) days after shipment by Software Toolbox, whichever is sooner, it is shown that the SLIK-DA Software or SLIK-DA with UA Software does not meet this warranty, Software Toolbox will, at its option, either correct the defect or error in the SLIK-DA Software or SLIK-DA with UA Software, free of charge, or make available to recipient satisfactory substitute software, or, if none of the foregoing are reasonably available, return to Recipient all payments made as license fees and terminate the license with respect to the SLIK-DA Software or SLIK-DA with UA Software affected. Software Toolbox does not warrant that operation of the SLIK-DA Software or SLIK-DA with UA Software will be uninterrupted or error free or that it will meet Recipient's needs. All other portions of the Licensed Software are provided "as is" without warranty of any kind.

SOFTWARE TOOLBOX INC. DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR FREE, THAT IT WILL SATISFY YOUR PLANNED APPLICATIONS OR THAT ALL DEFECTS IN THE SOFTWARE CAN BE CORRECTED. IF SOFTWARE TOOLBOX INC. PROVIDES INFORMATION OR ASSISTANCE REGARDING THE USE OF THE SOFTWARE OR OTHERWISE, SOFTWARE TOOLBOX INC. IS NOT ASSUMING THE ROLE OF ENGINEERING CONSULTANT. SOFTWARE TOOLBOX INC. DISCLAIMS RESPONSIBILITY FOR ANY ERRORS OR OMISSIONS ARISING IN CONNECTION WITH ENGINEERING IN WHICH ITS SOFTWARE OR SUCH INFORMATION OR ASSISTANCE IS USED.

Except as provided above, the Licensed Software is provided AS IS and TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOFTWARE TOOLBOX FURTHER DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES AND CONDITIONS OF MERCHANDISABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON INFRINGEMENT.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOFTWARE TOOLBOX INC. BE LIABLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFIT, LOST SAVINGS, LOST OPPORTUNITIES, OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE LICENSED SOFTWARE, EVEN IF SOFTWARE TOOLBOX INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOFTWARE TOOLBOX INC.'S ENTIRE LIABILITY SHALL BE, AT SOFTWARE TOOLBOX INC.'S OPTION, EITHER (A) RETURN OF THE PRICE PAID FOR THE SOFTWARE (OR COMPONENT), OR (B) REPAIR OR REPLACEMENT OF THE SOFTWARE (OR COMPONENT) THAT DOES NOT MEET SOFTWARE TOOLBOX INC.'S LIMITED WARRANTY AND WHICH IS RETURNED TO SOFTWARE TOOLBOX INC. WITHIN THE WARRANTY PERIOD. THIS SHALL BE THE SOLE AND EXCLUSIVE OBLIGATION OF SOFTWARE TOOLBOX INC. AND YOUR SOLE AND EXCLUSIVE REMEDY WITH RESPECT TO ANY SUCH FAILURE. THE LIMITED WARRANTY IS VOID IF FAILURE OF THE SOFTWARE (OR COMPONENT) HAS RESULTED FROM ACCIDENT, ABUSE OR MISAPPLICATION.

TERM AND TERMINATION

Recipient may terminate the license granted hereunder at any time by destroying the Licensed Software and the related materials together with all copies in any form and notifying Software Toolbox in writing that all use of the Licensed Software has ceased, and that same has been destroyed.

The license will also terminate upon conditions set forth elsewhere in this Agreement or if you fail to comply with any term or condition of this Agreement. You agree upon such termination to destroy the Licensed Software and the related materials together with all copies in any form and to certify to Software Toolbox in writing that all use of the Licensed Software has ceased, and that same has been destroyed.

Termination of this Agreement or any license hereunder shall not relieve recipient of its obligation to pay any and all outstanding charges hereunder nor entitle Recipient to any refund of such charges previously paid.

RETURN POLICY

The original licensee of the Software can return it within thirty (30) days of purchase. Please call us for a Return Material Authorization Number. Returns after 30 days of purchase may require a restocking fee. Any extensions of this return period must be pre-approved by Software Toolbox technical support and documented in writing, where e-mail is considered to be in writing. No returns are accepted without a Return Material Authorization Number.

SUPPORT

Software Toolbox's initial free warranty and support period is 30 days from the purchase date of the Software. Software Toolbox Inc. provides unlimited e-mail support for all Software whether a demo or registered license in the first 30 days after purchase. Software Toolbox Inc. will provide free phone support during the initial 30 days to the licensed and registered user provided the applicable license fees for use of the Software have been paid. Software Toolbox Inc. will provide email and phone support beyond the initial 30 day warranty period as stipulated in the separate SLIK-DA or SLIK-DA with UA Maintenance Agreement, and provided applicable maintenance or support fees have been paid to Software Toolbox. Such support beyond the initial 30 day warranty period would be provided subject to the terms of a separate support agreement. All corrections and maintenance releases will be made available through Software Toolbox Inc.'s Internet site.

All major product releases of the Software are subject to upgrade fees. At no time will on-site support be provided without advance payment to Software Toolbox Inc. for a minimum of two days on-site engineering support services, plus all expenses. Support does not include debugging, writing or modify code for your custom software application.

DUAL-MEDIA SOFTWARE.

You may receive the Software in more than one medium. Regardless of the type or size of medium you receive, you may use only one medium that is appropriate for the Computer. You may not use or install the other medium on another computer. You may not loan, rent, lease, or otherwise transfer the other medium to another user, except as part of the permanent transfer (as provided above) of the Software.

U.S. GOVERNMENT RESTRICTED RIGHTS.

The Software and documentation are provided with RESTRICTED RIGHTS. Use, duplication, or disclosure
by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical
Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the
Commercial Computer Software-Restricted Rights at 48 CFR 52.227-19, as applicable.

SEVERABILITY

Each section and subsection of this Agreement shall be considered severable, and if any provision of this Agreement shall be held illegal, invalid, or otherwise unenforceable under controlling law, the remaining provisions of this Agreement shall not be affected thereby but shall continue in effect.

EXPORT RESTRICTIONS

You acknowledge that the Software is subject to U.S. export jurisdiction. You agree to comply with all applicable international and national laws that apply to the Software, including the U.S. Export Administration Regulations, as well as end-user, end- use and destination restrictions issued by U.S. and other governments. Prior to delivery of product, you may be required to provide to Software Toolbox the necessary documentation as required by the U.S. government and it's agencies to certify the final end user destination of the Software. If such documentation is requested and you do not or are not able to provide it, the Software will not be delivered to you in any form, and any pre-paid funds for license fees will be refunded to you.

GOVERNING LAW

This Agreement, and all matters concerning its construction, interpretation, performance or validity, shall be governed by the laws of State of North Carolina, United States of America. The provisions of the United Nations Convention on the International Sale of Goods shall not apply to this Agreement.

YOU ("RECIPIENT") ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN US WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, EXCEPT THE MASTER LICENSE AGREEMENT IF ONE EXISTS, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN US RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.

THIRD PARTY LICENSES AND OPEN SOURCE LICENSE ACKNOWLEDGEMENTS

The following license terms apply to OPC UA server interface portions of the SLIK-DA with UA Software.

3.2.3 License in Short

The Ansi C Stack Core Module stays under the Reciprocal Community License (RCL) which is based on the concept of reciprocity or, if you prefer, fairness.

The RCL is adapted from the Open Source Reciprocal Public License (RPL) where the Public in the Open Source RPL license is replaced by the Community in the RCL License. In short, the RPL license grew out of a desire to close loopholes in previous open source licenses, loopholes that allowed parties to acquire open source software and derive financial benefit from it without having to release their improvements or derivatives to the community which enabled them. This occurred any time an entity did not release their application to a "third party". While there is a certain freedom in this model of licensing, it struck the authors of the RPL as being unfair to the open source community at large and to the original authors of the works in particular. After all, bug fixes, extensions, and meaningful and valuable derivatives were not consistently faster, growth and expansion of the overall open source software base. While you should clearly read and understand the entire license, the essence of the RCL is found in two definitions: "Deploy" and "Required Components".

     Regarding deployment, under the RCL your changes, bug fixes, extensions, etc. must be made available to the community when you Deploy in any form -- either internally or to an outside party. Once you start running the software you have to start sharing the software.

     Further, under the RCL all components you author including schemas, scripts, source code, etc. -- regardless of whether they're compiled into a single binary or used as two halves of client/server application -- must be shared. You have to share the whole pie, not an isolated slice of it.
